Menimo — Marketplace Listing Terms

Operator of the marketplace: Doju Ltd, Business ID 2708306-1, Finland ("we"). Menimo is the consumer brand of our marketplace. Provider: the business or person that claims or creates a listing ("you"). Menimo connects consumers with your classes; you are the seller of everything you offer, and we are not a party to any booking.

1. The listing

1.1 A listing is your public profile (name, address, disciplines, photos, prices, the payment methods and sports benefits you accept) and a timetable from one of the sources in section 3. A listing may be Free or Pro (section 5). A Practice on a Practice or Practice + payments plan is listed automatically from its published timetable.

1.2 You list only your own business and only activities you provide yourself. One listing per place; a freelancer who teaches at several places lists once with the places named.

1.3 Trader or private person. At claim you declare whether you offer the activity as a trader (then your business identifier and address are shown) or as a private person. The declaration is shown on your listing, because consumer protection applies only to a purchase from a trader. You keep it correct.

2. Content rules

2.1 Your content is true, current and yours to use (photos of your own premises and people who agreed). No claim you cannot back; no generic environmental or social claims; no health or treatment claims beyond what your profession may make; no content about other clients or other providers; nothing unlawful.

2.2 Prices shown are the full prices a consumer pays. If a listing shows a price for a time, it is the price for that time.

2.3 Moderation. We may ask you to correct content, hide a listing until corrected, or remove content that breaks these rules or the law. We check listings on notice from anyone (a "report" link is on every listing and review) and by our own sampling; we use no automated removal. Before or when we restrict, hide or remove, we send you a statement of the facts and the rule relied on, and you may contest it through support; we answer in writing. If we end your listing altogether we tell you 30 days ahead, except where the law, repeated breaches or an immediate legal reason require otherwise.

3. Your timetable

3.1 Sources, your choice: a calendar feed (iCal/ICS) or a web page of yours with structured event data at an address you give us; weekly slots you enter by hand; or "open — enquire". We read only the address you register; we never collect your data from elsewhere.

3.2 You keep the timetable true. A feed is refreshed about hourly; hand-entered slots show "last updated" and we ask you to re-confirm them weekly; after 14 days without a re-confirm the listing shows "enquire" until you confirm again. A timetable we cannot read shows "timetable unavailable", never a wrong time.

4. Booking modes and your duties

4.1 Each listing offers one of: Book directly, Book and wait for confirmation, or Go to the provider's own booking (a link to your page). You choose, within what your listing qualifies for.

4.2 Requests. We forward a booking request once the consumer has confirmed their e-mail address. Before you confirm you see the consumer's name, the time, the number of people and their message; the consumer's contact details arrive with your confirmation. You confirm or decline through the link we send within 72 hours; a request not answered expires and the consumer is told. A confirmed request is a booking between you and the consumer on your terms; you contact the consumer for anything further.

4.3 Direct booking is available when we know your availability live: your timetable is published on a practice plan, or you have connected your calendar (Microsoft 365 or Google, free/busy only) and set the weekly hours you take bookings, or your feed carries capacity and you have switched on automatic confirmation. A hand-entered timetable qualifies after 30 days with no declined booking and no "turned away" report. A booking is confirmed to the consumer at once on your standing instruction and is binding on you; we check your calendar again at the moment of booking, but a busy time added in the last 15 minutes may not yet be known to us, and you keep your calendar current. Payment is made with you. If you cannot honour a direct booking you tell the consumer at once and we may switch the listing back to requests. As a trader, a time can be booked directly only when it has a price. You set your cancellation rule (until when a booking may be cancelled free of charge, and any fee after that); until you do, a direct booking may be cancelled free of charge until its start. On your behalf we show the consumer, before they confirm and in their confirmation e-mail, your details, the price, your cancellation rule and that a booking for a set time has no right of withdrawal.

4.4 Links to your own booking page are free and carry a referral mark so you can see on your listing page how many consumers came from Menimo. We do not ask consumers afterwards whether they booked, and a link is never a fee.

4.5 You answer to the consumer for the activity, its safety, its price, cancellations, refunds and complaints under consumer law. You hold the licences, qualifications and insurance your activity needs.

4.6 Don't take a Menimo lead off Menimo to avoid the fee — for example by declining a request and asking the consumer to book with you directly instead. Once the first booking is made, the client is yours: later bookings they make with you directly are none of Menimo's business.

5. Fees, Pro and invoicing

5.1 Free listing: no price. A fee of €4 for each booking request you confirmed and each direct booking made through Menimo, at most €40 in a calendar month, and nothing for the first 90 days after your listing goes live. A direct booking counts as a request you confirmed in advance. Links are never charged. The 90 free days are given once per business (Business ID) or, for a private person, once per person; a new listing or a new account does not start them again. If you cancel a confirmed booking, its fee stays.

5.2 Pro listing: €10 per month plus VAT, billed in advance, no request fee. When you switch Pro on we invoice the rest of the current month at once (prorated) and then each month in advance. If you switch back to Free, Pro continues to the end of the month you have paid for, with no refund. Switching Pro on again is paid from the start: there is no new free period and no free month. Pro gives prioritised visibility as section 6 describes and up to ten photos; listing statistics are free for every listing; direct booking is open to Free and Pro alike once your availability qualifies (4.3). Pro costs less than the Free listing's fee from the third confirmed request in a month.

5.3 We invoice request fees monthly in arrears and Pro in advance (5.2), by e-mail with a Finnish reference number, payable in 14 days; a month with nothing to pay produces no invoice. VAT is added at the Finnish general rate (reverse charge for a VAT-registered business in another EU state). We never deduct fees from a consumer's payment and never hold consumer money. Late payment and non-payment follow the Service Terms §4.4–4.5; after two unpaid invoices the listing shows "enquire" only until paid, with a statement of reasons.

5.4 We may change a fee or the Pro price with 30 days' notice; you may end the listing before the change takes effect.

6. Ranking and paid visibility

6.1 Listings that match a consumer's search are ordered by the parameters on our ranking page: distance in one-kilometre bands; then Pro before Free within a band; then booking mode (direct, then confirmation, then link); then start time nearest the searched time; then the verified-visit rating (from ten ratings in two years); then whether availability is known; then freshness of a hand-entered timetable.

6.2 Pro is the only payment that affects ranking. A Pro listing is placed before the other listings at the same distance; it is never placed above a listing more than one kilometre closer and never into results it does not match. Every result moved by Pro carries the label "Mainostettu" (Finnish), "Sponsrad" (Swedish) or "Sponsored" (English). No other payment, click volume or relationship with us moves a listing. What differs between listings (P2B Art 7): how a listing can be booked is itself a ranking parameter (6.1), and direct booking comes with a practice plan or with a connected calendar or capacity feed (4.3) — so a listing on a practice plan, or with a connected calendar, usually comes before a request-only listing at the same distance. A practice plan also includes the listing without a request fee (5.1). We also list businesses we run ourselves (for example our own swim school). They are on a practice plan, so they get exactly what any practice-plan listing gets — no more; they are ranked by these same rules, receive no data about other providers beyond what any provider receives, and are marked on their listing as run by Menimo's operator.

6.3 We change the parameters only with 15 days' notice (section 11), and the ranking page always shows the version in force.

7. Reviews

7.1 Only a consumer whose visit we can verify — a booking made on a practice's own booking page on our platform, or a direct booking on your listing, whose time has passed and which was not cancelled — may leave a review: one to five stars, optional text, optional sub-scores. Each review is labelled "Verified visit". Consumers who only sent a request or followed a link cannot review in this version.

7.2 Text is screened before publication so that it names no other client and states no one's health information; we hold a review for 24 hours before publishing so the writer can change or withdraw it. The reviewer may edit or delete their review at any time.

7.3 You may reply publicly once per review, under the same content rules. You may report a review through the report link; we decide on the grounds in 7.4 and send both sides our reasons.

7.4 We never remove a review because it is negative. We remove a review only if it is not from a verified visit, contains abusive language, personal data of a third party or health information, or is unlawful.

7.5 You may not buy reviews, ask only satisfied clients to review, offer anything in return for a rating, write or arrange reviews of your own listing, or pressure a reviewer. We offer no incentive for reviews; if we ever do, it is disclosed at the reviews. A breach is a ground for restriction under 2.3.

7.6 Your listing's average is the unweighted mean of all published star ratings of the last two years, shown from three ratings; it affects ranking only from ten ratings, as 6.1 states.

8. Your seller data

8.1 At claim you give the data consumer law and tax law require of a seller on a platform: legal name, business identifier or, for a private person, name and date of birth, address, tax identification number, VAT status, and the contact shown to consumers. We show the consumer-facing part on your listing and before a booking (Consumer Protection Act chapter 6 section 9 a), keep the rest for the Tax Administration's platform-reporting rules (Act 1267/2022), and report to the Tax Administration once a year, with a copy to you, the sales made through Menimo: payments through a charge the platform created on your behalf, and direct bookings made through Menimo at the price shown for the booked time. A request you confirmed and settle with the consumer yourself, at a price we never see, and a link to your own page are not reported by us.

8.2 You tell us within 30 days when any of it changes.

9. Data protection

9.1 We are the controller of the consumer contact details given with a request or a review opt-in, searches, clicks, booking requests until you confirm them, reviews and your listing. You are the controller of what you keep about a consumer once you confirm a request or a booking is made with you; you inform the consumer under your own privacy notice. We hand over only the consumer's name, contact details and the booking details, on the consumer's own request.

9.2 Your listing statistics are counts; we give you no consumer's identity from a search or a click.

10. Your account and ending the listing

10.1 You keep your sign-in to yourself and answer for what is done with it. You may end a Free listing at any time in the service; a Pro listing ends at the end of the paid month. We may end a listing on 30 days' notice, or at once for the reasons in 2.3 and in the Service Terms §8.

10.2 Nothing here stops you from offering the same services anywhere else on any terms.

11. Changes to these Terms

We may change these Terms by publishing the new version and e-mailing you at least 15 days before it takes effect (30 days where a change adds a fee or reduces a right); you may end the listing before the effective date. A change the law or security requires may take effect sooner, with notice as soon as practicable.

12. Complaints, liability, law

12.1 Complaints about the marketplace go to support (the address on your listing page); we answer within one business day (Helsinki time). We are a small enterprise, so the internal complaint-handling and mediation provisions of Regulation (EU) 2019/1150 (Arts 11–12) do not apply while that remains so. Our single point of contact for authorities (Digital Services Act Art 11) and for providers and consumers (Art 12) is the e-mail address under "Single point of contact" on the marketplace terms page (/m/terms); it answers in Finnish, Swedish and English.

12.2 Liability between us follows the Service Terms §7, with the cap floor applied to a Listing-plan provider as EUR 1,000.

12.3 Finnish law; disputes in the District Court of Helsinki. Nothing here limits a consumer's mandatory rights, and nothing here limits yours if you are a private person acting as a consumer towards us.
